Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and BrewingStack Technologies Inc. (“BrewingStack”, “we”, “us”), which operates TrueSpend at truespend.io (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

2. Eligibility and your account

• You must be at least 18 years old and able to form a binding contract.
• Your account is for your personal use. Don't share your login or let others use your account.
• Keep your sign-in details secure, and tell us right away at support@truespend.io if you think someone has accessed your account.
• You're responsible for activity on your account and for keeping your account information accurate.

3. The Service

TrueSpend imports your Amazon order and refund information, estimates what you paid for each item, categorizes purchases, and provides reports and exports. We are continually improving TrueSpend, so features may be added, changed or removed. If we remove a core feature you've paid for, we'll let you know in advance.

We aim to keep the Service available at all times but don't guarantee uninterrupted access. Planned maintenance will be announced when practical.

4. Connecting your Gmail account

To import orders, you authorize TrueSpend to access your Gmail account with read-only permission. You confirm that you own or are authorized to connect that account. We access only Amazon emails, as described in our Privacy Policy. You can revoke access at any time, but TrueSpend won't be able to import new orders until you reconnect.

5. Free trials, billing and refunds

Free trial

New accounts get a 14-day free trial. Unless you cancel before the trial ends, your chosen plan starts and your payment method is charged. We'll email you a reminder before you're charged.

Subscriptions

TrueSpend is available as a monthly plan ($6.99 USD per month) or an annual plan ($59.99 USD per year), plus applicable taxes. Subscriptions renew automatically at the end of each billing period until you cancel. Payments are processed by Stripe, and you authorize us to charge your payment method on each renewal.

Price changes

If we change our prices, we'll give you at least 30 days' notice by email. The new price applies from your next renewal after the notice period. If you don't agree, you can cancel before then. Promotional or founding-member prices apply as described when you received them.

Cancellation and refunds

• You can cancel anytime in Settings → Billing.
• Monthly plans stay active until the end of the current month. Partial months aren't refunded.
• Annual plans are refunded for the unused full months remaining when you cancel.
• If the law where you live gives you additional refund rights, those rights apply.

If a payment fails, we'll try again and email you. If it still fails, we may pause your access until your payment details are updated.

6. Acceptable use

You agree not to:

• connect an email account you're not authorized to access;
• reverse engineer, scrape, or copy the Service, or try to get around its security or usage limits;
• use the Service to break any law or infringe anyone's rights;
• upload malicious code or interfere with the Service's operation;
• resell or offer the Service to others without our written permission.

7. Your data

You own the information you bring into TrueSpend. You give us a limited permission to store and process it only as needed to provide the Service to you, as described in our Privacy Policy. You can export your data or delete your account at any time. We do not sell your data.

If you send us feedback or suggestions, we may use them to improve TrueSpend without any obligation to you.

8. Estimates, not financial advice

TrueSpend estimates what you paid for each item, suggests categories automatically, and flags repeat purchases that may be Subscribe & Save. These flags are predictions, not confirmation of an active subscription. These figures are estimates, may differ from your bank or card statements, and depend on the accuracy of the order information Amazon provides.

TrueSpend is an informational tool. It does not provide financial, investment, tax or legal advice. Talk to a qualified professional before making important financial decisions.

9. Third-party services

TrueSpend relies on third-party services such as Google, Stripe and our hosting providers. Their own terms apply to your use of them, and we're not responsible for their availability or actions.

TrueSpend is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. Amazon is a trademark of Amazon.com, Inc. or its affiliates. Gmail is a trademark of Google LLC.

10. Our intellectual property

The Service, including its software, design, logos and content, belongs to BrewingStack and is protected by law. We grant you a personal, non-transferable licence to use TrueSpend while your account is active and in line with these Terms. The TrueSpend name and logo may not be used without our permission.

11. Ending your account

You can delete your account at any time in Settings. We may suspend or close your account if you seriously or repeatedly break these Terms, if required by law, or if we stop offering the Service. Unless it's an emergency or legally restricted, we'll give you notice and a chance to export your data first. If we close the Service entirely, we'll refund any prepaid unused period.

12. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't guarantee that the Service will be error-free or that every order will be imported or categorized correctly.

13. Limitation of liability

To the extent permitted by law, BrewingStack will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or savings, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or $50 USD, whichever is greater.

Some jurisdictions don't allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits rights you have under consumer protection law that can't be waived.

14. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Before filing a claim, please contact us so we can try to resolve the issue informally. Any dispute that can't be resolved will be handled by the courts of Ontario, unless the consumer protection law where you live gives you the right to bring a claim in your local courts.

15. Changes to these Terms

We may update these Terms as TrueSpend grows. For material changes, we'll email you and show a notice in the app at least 14 days before they take effect. If you keep using TrueSpend after that, the updated Terms apply. If you don't agree, you can cancel before they take effect.
